1. Acceptance of Terms

By accessing or using Measurebird ("Service", "we", "us", "our"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use our Service. These Terms constitute a legally binding agreement between you and measurebird, a business registered in the Netherlands.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" will include both you and that organization.

2. Services Provided

Measurebird provides automated tracking health monitoring services for Google Analytics 4 (GA4), Google Ads, and Meta (Facebook) advertising platforms. Our services include:

  • Daily automated health checks on connected marketing accounts
  • Real-time alerts when tracking issues are detected
  • Comprehensive tracking health reports and analytics
  • Health score calculations for monitoring account integrity
  • Website monitoring services (if applicable to your plan)

We access your marketing platform data through official APIs provided by Google and Meta, subject to their respective terms of service and API usage policies.

3. Third-Party API Compliance

3.1 Google Services API Compliance

By connecting your Google Analytics 4 or Google Ads accounts, you acknowledge and agree to:

  • Comply with the Google Analytics API Terms of Service and Google Ads API Terms of Service
  • Only connect accounts for which you have proper authorization and ownership
  • Not use our Service to violate Google's Terms of Service or any applicable laws
  • Understand that Google may revoke API access at any time, which may affect Service availability
  • Grant Measurebird necessary permissions to read analytics and advertising data solely for providing monitoring services

3.2 Meta (Facebook) API Compliance

By connecting your Meta (Facebook) advertising accounts, you acknowledge and agree to:

  • Comply with the Meta Platform Terms and Meta Marketing API Terms
  • Only connect accounts for which you have proper authorization and administrative access
  • Not use our Service to violate Meta's Terms of Service, Community Standards, or Advertising Policies
  • Understand that Meta may revoke API access at any time, which may affect Service availability
  • Grant Measurebird necessary permissions (ads_read, business_management) solely for providing monitoring services
  • Comply with Meta's data usage restrictions and not use data obtained through our Service for competitive intelligence or unauthorized purposes

3.3 API Access Limitations

You understand that:

  • API access is subject to rate limits and quotas imposed by third-party platforms
  • We are not responsible for API outages, changes, or deprecations by third-party platforms
  • You may revoke API access at any time through your platform account settings
  • Revoking API access will immediately suspend monitoring for the affected accounts

4. User Responsibilities and Account Security

4.1 Account Information

You agree to:

  • Provide accurate, current, and complete information when creating an account
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

4.2 Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate any third-party rights, including intellectual property rights
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, redistribute, or sublicense the Service without our written consent
  • Use the Service to monitor accounts without proper authorization

5. Subscription, Payment, and Refund Policy

5.1 Subscription Plans

Access to Measurebird requires a paid subscription. Subscription plans, features, and pricing are displayed on our pricing page and may be updated from time to time.

5.2 Billing and Payment

  • Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan
  • All fees are stated in EUR (Euros) and are exclusive of applicable taxes (VAT/BTW)
  • You are responsible for paying all applicable taxes based on your location
  • Payments are processed securely through our third-party payment processors
  • By providing payment information, you authorize us to charge your payment method for all fees
  • If payment fails, we may suspend or terminate your access to the Service

5.3 Price Changes

We reserve the right to modify our pricing with at least 30 days' written notice to existing subscribers. Price changes will apply to your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

5.4 Refund Policy (EU Consumer Rights)

In accordance with EU consumer protection laws:

  • If you are a consumer in the EU, you have the right to withdraw from this contract within 14 days without giving any reason (cooling-off period)
  • The withdrawal period expires 14 days after the day of the conclusion of the contract
  • However, if you have requested that we begin providing the Service during the withdrawal period, you will be charged for the Service provided up to the point of withdrawal
  • After the 14-day period, subscription fees are generally non-refundable, except as required by law or at our discretion
  • If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period
  • No refunds will be provided for partial billing periods

5.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. We do not provide refunds for unused portions of your subscription period, except as required by applicable law.

6. Data Processing and GDPR Compliance

6.1 Data Controller and Processor

Measurebird acts as a data processor when processing your marketing platform data on your behalf. You remain the data controller for your marketing data. For personal data we collect directly from you (account information, etc.), we act as the data controller.

6.2 Data Processing Agreement

By using our Service, you acknowledge that:

  • We process your marketing platform data solely to provide monitoring services
  • We do not use your data for advertising, marketing to third parties, or any purpose other than providing the Service
  • We implement appropriate technical and organizational measures to protect your data
  • We only retain data as necessary to provide the Service and comply with legal obligations
  • You may request deletion of your data at any time, subject to legal retention requirements

6.3 Your Rights Under GDPR

If you are located in the EU/EEA, you have the following rights regarding your personal data:

  • Right of Access: Request a copy of your personal data we hold
  • Right to Rectification: Request correction of inaccurate data
  • Right to Erasure: Request deletion of your data ("right to be forgotten")
  • Right to Restrict Processing: Request limitation of how we process your data
  • Right to Data Portability: Receive your data in a structured, machine-readable format
  • Right to Object: Object to processing of your data for certain purposes
  • Right to Withdraw Consent: Withdraw consent where processing is based on consent

6.4 Data Transfers

Your data may be processed and stored outside the EU/EEA. We ensure appropriate safeguards are in place, such as Standard Contractual Clauses (SCCs) approved by the European Commission, to protect your data in accordance with GDPR requirements.

6.5 Data Breach Notification

In the event of a data breach that may affect your personal data, we will notify you and the relevant supervisory authority within 72 hours, as required by GDPR.

7. Service Level Agreement and Availability

7.1 Service Availability

We strive to maintain high availability of our Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Unscheduled maintenance or emergency repairs
  • Third-party API outages or limitations
  • Force majeure events
  • Technical issues beyond our reasonable control

7.2 Monitoring Accuracy

While we use best efforts to provide accurate monitoring and alerts, we cannot guarantee:

  • Detection of all tracking issues or data quality problems
  • Real-time detection of all issues (there may be delays)
  • 100% accuracy of health scores or reports
  • Compatibility with all possible tracking configurations

7.3 No Service Guarantee

The Service is provided "as is" and "as available." We do not warrant that the Service will meet your specific requirements, be available at all times, or be free from errors or defects.

8. License Grant and Intellectual Property

8.1 License to Use Service

Subject to your compliance with these Terms, Measurebird grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during your subscription period.

8.2 Our Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, and other materials on or in the Service ("Our IP") are owned by Measurebird or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, distribute, sell, or lease any part of Our IP
  • Reverse engineer or attempt to extract source code from the Service
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use Our IP to create competing products or services

8.3 Your Data and Content

You retain all ownership rights to data and content you provide to us. By using the Service, you grant us a limited license to use, process, and store your data solely to provide and improve the Service. This license terminates when you delete your data or account, except as necessary to comply with legal obligations.

9. Limitation of Liability and Indemnification

9.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Measurebird shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill
  • Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any damages resulting from: (a) your use or inability to use the Service, (b) unauthorized access to your account, (c) third-party API failures or limitations, (d) decisions made based on Service data or reports, (e) loss or corruption of data

9.2 EU Consumer Rights

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, (c) any other liability that cannot be excluded or limited under applicable EU law. If you are a consumer in the EU, you have legal rights that cannot be excluded by these Terms.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Measurebird, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, (d) your violation of any applicable laws or regulations, or (e) data or content you provide to us.

10. Termination

10.1 Termination by You

You may terminate your account and subscription at any time through your account settings or by contacting us. Termination will be effective at the end of your current billing period, unless you request immediate termination.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, if:

  • You violate these Terms or any applicable laws
  • You engage in fraudulent, abusive, or illegal activity
  • You fail to pay subscription fees when due
  • You breach any third-party API terms of service
  • We are required to do so by law or court order
  • We discontinue the Service (with reasonable notice when possible)

10.3 Effect of Termination

Upon termination: (a) your right to use the Service immediately ceases, (b) you remain responsible for all fees incurred before termination, (c) we may delete your account and data after a reasonable retention period, subject to legal requirements, (d) provisions that by their nature should survive termination will remain in effect.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11.2 EU Consumer Dispute Resolution

If you are a consumer in the EU:

  • You may bring proceedings in the courts of your country of residence or the Netherlands
  • You have the right to use the European Online Dispute Resolution Platform to resolve disputes
  • You may contact your local consumer protection authority for assistance

11.3 Business Users

If you are using the Service for business purposes, you agree that any disputes shall be resolved exclusively in the competent courts of Amsterdam, the Netherlands.

11.4 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us to attempt to resolve disputes informally. We will make good faith efforts to resolve disputes within 30 days.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via:

  • Email notification to the address associated with your account
  • Notice within the Service
  • Posting updated Terms on this page with a new "Last Updated" date

Material changes will take effect 30 days after notification, unless you are notified otherwise or the changes are required by law (in which case they take effect immediately). Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Measurebird regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

13.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.5 Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or government actions.
